2 The board of directors intends to extent the production to the sector of automatic vacuum cleaners and therefore considers the financing possibilities. The management plans to carry out an increase in share capital and is going to present the financing concept to the shareholders at the upcoming annual general meeting. The financial department calculated a need of about USD 20,000,000 for the new manufacturing facilities.

At the moment the company’s subscribed capital amounts to USD 190,400,000 and shall be increased by the needed amount for the new production facility. The current stock exchange price for one of the 1,400,000 old shares is USD 136 and the subscription price for the 200,000 new shares shall be USD 120.

Calculate the subscription ratio, the value of the subscription right (preemptive right), the average share price as well as the inflow of liquidity for the company.

At the annual general meeting some of the old shareholders complain that due to the lower subscription price of the new shares, they will suffer a substantial dilution once the capital increase is carried out.

Show two possibilities how shareholders can respond to the dilution of their share capital 1. Calculate both possibilities that prevent the dilution of the share capital.

Lösung: Die Altaktionäre können zum einen an der Kapitalerhöhung teilnehmen. Bei dieser Möglichkeit erleidet er einen rechnerischen Verlust je Altaktie in Höhe von 2 USD. Bezogen auf das Bezugsverhältnis (7:1) ergibt sich somit ein Wertverlust von 14 USD. Durch den Ankauf einer Aktie erzielt er aber einen Wertzuwachs in Höhe von 14 USD. Dies ergibt sich aus der Differenz zwischen Mischkurs (134 USD) und Ausgabekurs (120 USD).

2.2 Possibility 2: Do not participate / sell subscription rights (Verkauf der Bezugsrechte) and calculation:

Lösung: Die Altaktionäre können zum anderen nicht an der Kapitalerhöhung teilnehmen. Bei dieser Option verkauft er sein Bezugsrecht. Der rechnerische Wertverlust beträgt dabei ebenfalls 14 USD. Dieser wird allerdings in diesem Fall durch den Verkauf der Bezugsrechte wieder ausgeglichen (7 x 2 USD = 14 USD). Die Altaktionäre erleiden somit in keinem der beiden Szenarien einen Wertverlust.
